Try upgrading the DRM at this Microsoft site. Make sure all other programs are closed and you do the upgrade with the Internet Explorer browser and not some other browser like Firefox, Opera, etc.:

If the upgrade button is grayed out, you might need to take these steps:
1. Open windows explorer, go to C: \Documents and Settings \All Users folder. Delete or rename the folder there called "DRM"
2. If you can't see that folder in explorer, it will be hidden. To unhide it, go to the Tools menu, choose Folder Options,View, then tick "Show hidden files and folders" option in windows explorer.
3. Once that is removed, revisit the web page. The DRM folder should then be re-created and use the appropriate settings.

which might help - the first set seem to specifically apply to Vista rather than XP.

I’m not sure what might have caused your problem but I had the same exact problem and found NO answers anywhere!! Hopefully this helps if you haven’t already solved it.
I purchased and attempted to download a few songs and received error message C00D11E2: “Window Digital rights management component is corruptedâ€.
(Windows XP)
First, I deleted the DRM folder (normally located at C:\Documents and Settings\All Users\DRM), rebooted and attempted again to download the songs using the restore tool in the software but this time got a new error message (C00D12E2: “A security update is required by Zune Marketplace Content providerâ€). The DRM folder had recreated itself giving me a new error message now. After receiving that message I once again went to the folder and this time renamed it “DRMbackup†instead of deleting it. This resolved my issue and I was able to restore my purchased music.
You would still have to enable the “show hidden folders†option and rather than searching for it through DOS use the Folder explorer (View/Explorer bar/Folders) option. This way you can see the folder and rename it. I tried doing it through DOS and it kept telling me it could not find the specified file or folder.
